Engagement terms
Services are delivered under a separate statement of work that defines scope, milestones, acceptance criteria, rates and commercial terms. Where a statement of work conflicts with these terms, the statement of work prevails.
Intellectual property
Unless otherwise agreed, deliverables created specifically for a client transfer to that client on full payment. Protogenies retains rights to pre-existing tooling, frameworks and generic know-how.
Confidentiality
Both parties agree to protect confidential information disclosed during an engagement and to use it only for the purposes of that engagement.
Warranties and disclaimers
Services are performed with professional skill and care. Website content is provided as is, without warranties of accuracy, availability or fitness for a particular purpose.
Limitation of liability
To the extent permitted by law, liability arising from an engagement is limited to the fees paid under the relevant statement of work, and neither party is liable for indirect or consequential loss.
Third-party services
Cloud providers, SaaS vendors and open-source components are governed by their own terms. Protogenies is not responsible for outages or changes in those services.
Governing law
These terms are governed by the laws of the jurisdiction stated in the applicable statement of work, and the parties submit to the exclusive jurisdiction of its courts.
